A branch is a division of a company which has its office and which may engage in economic/commercial activities. A branch does not have the rights of a legal person. A branch may:- open bank accounts with banks registered in the Republic of Lithuania;
- purchase or acquire by any other means property and securities and sell, mortgage and dispose of such property by any other means;
- engage in business and commercial activities in the Republic of Lithuania;
- to appear in court or arbitration as a claimant or defendant on Company's behalf.
If you choose to use our services, you should provide us with the following documents in order to register a branch:- Copies of the Extract from the Register, company's registration certificate and the Articles of Association, certified by Apostille or notarially, provided that a relevant agreement by the Republic of Lithuania and the country whose resident is the founder has been signed and is in force;
- Minutes of the general meeting of competent authorities of the Company concerning the establishment of branch;
- The company's financial statements and the audit opinion, if the founder company is subject to an audit;
- Passport data of director of the institution being founded (first name, surname, home address, nationality, personal ID No.) and contact phone No.;
- Agreement on lease of premises or another agreement providing for the granting of a legal address.
Registration of representative offices of foreign countries
According to the definition provided for in the Civil Code of the Republic of Lithuania, a representative office of a legal person is a division of a company which has its office and which is not entitled to engage in activities laid down in the laws. The representative office of a legal person has the right to represent and defend the interests of the legal person, conclude transactions and carry out other activities on behalf of the legal person, engage in export-import operations, but only between foreign legal persons and other organizations that have their representative offices, or with enterprises related to the representative office, institutions or organizations and the representative office. A representative office of a legal person does not have the rights of a legal person. If you choose to use our services, the following documents should be presented in order to register a representative office:- Copies of the Extract from the Register, foundation agreement, company's registration certificate and the Articles of Association certified by Apostille or notarially, provided that a relevant agreement by the Republic of Lithuania and the country whose resident is the founder has been signed and is in force;
- decision of competent bodies of a foreign company to establish a representative office in Lithuania and to appoint a representative;
- a power of attorney issued to the representative, empowering him/her to register the representative office;
- Agreement on lease of premises or another agreement providing for the granting of a legal address;
- Passport data of the head of the representative office being established (first name, surname, home address, nationality, personal ID No.) and contact phone No.;
- Passport data of the representative (first name, surname, home address, nationality, personal ID No.) and contact phone No.;
- The company's financial statements and the audit opinion, if the founder company is subject to an audit.
